Job Description: Legal Counsel<\/h2>\n

We seek a Legal Counsel to join our company\u2019s Legal Department. The ideal candidate will play a major role in ensuring contractual compliance and legal alignment within the rapidly evolving landscape of the financial industry, including cryptocurrency, digital assets, investment funds, FinTechs, and payment institutions. The candidate should demonstrate a keen interest in emerging technologies and possess a solid understanding of the legal framework surrounding these industries. The candidate will have the opportunity to collaborate with industry experts, engage with diverse clients, and contribute to the advancement of legal strategies within the context of emerging financial technologies.<\/p>\n

Key Responsibilities:<\/strong><\/h3>\n

1.1. Managing and organising teamwork<\/strong><\/em><\/span><\/h4>\n

\u25cf Leading a team of Legal Counsel and\/or legal support team (Research and Products):<\/p>\n

\u25cf Overseeing the operation of the teamwork (Research and Products):<\/p>\n

\u25cf Ensuring compliance of processes, activities, procedures, products and services with internal and external regulations:<\/p>\n

\u25cf Advising employees and management on contracting and day-to-day transactions:<\/p>\n

\u25cf Conducting legal training sessions.<\/p>\n

1.2. In-house corporate Legal Counsel<\/strong><\/em><\/span><\/h4>\n

\u25cf Preparation of legal documents for corporate structure in order to mitigate legal risks:<\/p>\n

\u25cf Creation of a process for keeping the corporate legal documents up-to-date:<\/p>\n

\u25cf Revision and upgrade of existing legal documents:<\/p>\n

\u25cf Revision of existing AML policies:<\/p>\n

\u25cf Preparation of AML educating materials for employees:<\/p>\n

\u25cf Creation & Development of AML related schooling classes (internal) + basic provision of internal regular classes:<\/p>\n

\u25cf In-house day-to-day routine, including contract preparation, revision and legal guidance:<\/p>\n

\u25cf Creation of a process for legal research\/requirements for various license procedures globally:<\/p>\n

\u25cf Communicating with clients and partners.<\/p>\n

1.3. Process\/projects for FinTechs and related client projects<\/strong><\/em><\/span><\/h4>\n

\u25cf Participation in calls with (potential) clients\/existing clients applying for various licenses:<\/p>\n

\u25cf Participation in calls with business partners (B2B):<\/p>\n

\u25cf Creation of process flow for license application related cases in various jurisdictions.<\/p>\n

1.4. LegalTech Process Owner<\/strong><\/em><\/span><\/h4>\n

\u25cf Participation in executive corporate vision-oriented calls:<\/p>\n

\u25cf Proving thought leadership by initiating and leading our legal digitalization:<\/p>\n

\u25cf Creation of Roadmap for legal-digitalization based on vision outcome:<\/p>\n

\u25cf Creation of standardized processes, including an internal knowledge base:<\/p>\n

\u25cf Automation of legal processes (such as KYC\/KYB processes).<\/p>\n

Requirements for the Candidate:<\/h3>\n
    \n
  • Higher education (Master’s degree or equivalent qualification);<\/li>\n
  • At least 2-3 years of professional experience;<\/li>\n
  • English at C1 level, Estonian and Russian at B2 level (knowledge of other languages an advantage);<\/li>\n
  • Ability to lead a team, to work as part of a team and to contribute to a friendly working environment;<\/li>\n
  • Strong understanding of contract law and legal compliance principles;<\/li>\n
  • Strong interest in the latest developments in the financial industry and underlying technology, including cryptocurrency, FinTechs, and blockchain technology;<\/li>\n
  • Familiarity with Web3 legal developments;<\/li>\n
  • Solid understanding of EU Law and its implications for corporate management and advisory services (knowledge of the legal frameworks of any specific EU Member State(s) is advantageous);<\/li>\n
  • Ability to engage with clients and understand their legal needs in the context of different financial industries;<\/li>\n
  • Excellent research, analytical, and communication skills;<\/li>\n
  • Ability to work independently and collaboratively;<\/li>\n
  • Proficiency in legal research tools and databases, including the capability to conduct thorough legal research and analyze case law, statutes, and regulations;<\/li>\n
  • Attention to detail and ability to prioritize tasks effectively;<\/li>\n
  • Computer literate, including proficiency in Microsoft Office applications such as Word, Excel and PowerPoint;<\/li>\n
  • Strong analytical, organisational and creative thinking skills;<\/li>\n
  • Strong ability to work under pressure, i.e. the ability to work in a stable and high-quality manner under pressure and to use time effectively;<\/li>\n
