General information about the Cypriot crypto license

The crypto license in Cyprus was created in 2021 after the publication of the Directive of the Cyprus Securities and Exchange Commission on the Prevention and Suppression of Money Laundering and Terrorist Financing.

The Cyprus Securities and Exchange Commission (CySEC) is the responsible body for supervision of the financial market and regulation of crypto activities in Cyprus. This institution works under the ruling of the Cyprus Ministry of Finance. It is highly reputed for running a very successful European Forex license and actively participating in making Cyprus one of the top jurisdictions for financial services in the world.

The legislation of crypto businesses in Cyprus is directly part of the Anti Money Laundering and Counter Financing of Terrorism laws of Cyprus. The Directive enunciating the legal requirement to register crypto asset service providers is a consolidation of the AML laws of the country.

The license’s official denomination is Crypto Asset Service Provider registration (CASP). This license is necessary to conduct crypto activities in and from Cyprus. This means that a foreign licensed company will be required to apply for a CASP license in Cyprus to serve Cypriots. As of today, only European companies can apply for the CASP license in this case.

The process for obtaining a crypto license in Cyprus is straightforward and has a high level of requirements. The timeline for a Cyprus company to secure a CASP license is around 6 months.

In this guide, we take the example of a company starting from zero and incorporating a company in Cyprus. The initial stages of the process are then to form a company. Hopefully, Cyprus is a business friendly country and opening a company there is simple.

There are share capital requirements depending on the license class to be applied for. The requirements go from 50,000 EUR for a Class 1 license to 150.000 EUR for a Class 3 license.

The applicant must prepare a set of documents to demonstrate compliance with the law:

  • AML-CFT policies and procedures;
  • An Internal Manual of Operations for employees and managers;
  • Risk assessments;
  • A detailed business plan;
  • A business continuity plan.

The company must appoint a board of 4 directors (including 2 executive directors) and a Money Laundering Reporting Officer.

Finally, the company must be in line with accounting standards, reporting requirements, internal controls and audit procedures.

Types of licenses in Cyprus

The different types of crypto licenses in Cyprus

The Crypto Asset Services Provider license in Cyprus is layered into three classes of licenses: Class 1, 2 and 3.

Each of these classes is a different level of authorization with higher requirements, notably in terms of share capital.

Class 1

Only allows the provision of financial advisory services pertaining to crypto.

The minimum share capital for a Class 1 license is 50,000 EUR.

Class 2

In addition to the activities permitted by the Class 1 license, allows by law the following activities:

  • Exchange between crypto-assets and fiat currency;
  • Exchange between crypto-assets;
  • Reception and transmission of client orders;
  • Execution of orders on behalf of clients;
  • Participation and/or provision of financial services related to the distribution, offering and/or sale of crypto-assets, including the initial offering (ICO/ITO);
  • Placement of crypto-assets without firm commitment;
  • Portfolio management.

The minimum share capital for a Class 2 license is 125,000 EUR.

Class 3

In addition to the activities permitted by the Class 1 license, allows by law the following activities:

  • Administration, transfer of ownership, transfer of site, holding, and/or safekeeping, including custody, of crypto-assets or cryptographic keys or means enabling control over crypto-assets;
  • Underwriting and/or placement of crypto-assets with firm commitment;
  • Operation of a multilateral system, which brings together multiple third-party buying and selling interests in crypto-assets in a way that results in a transaction.

The minimum share capital for a Class 3 license is 150,000 EUR.

The legality of cryptocurrency business in Cyprus

After being in a gray zone for some time and tolerated for Alternative Investment Funds, cryptocurrency business has been made officially legal in Cyprus in 2021. With the passing of the Directive on the Register of Cryptoasset Service Providers by the Cyprus Securities Exchange Commission (CySEC), a new framework was created: the registration of Crypto Assets Service Providers (“CASP”).

Registering as a CASP is the sine qua non condition to conduct a crypto business in and from Cyprus. No foreign crypto company is allowed to provide its services to the residents of Cyprus without having registered to the CySEC as a Crypto Asset Service Provider.

“The Directive” describes the entirety of the CASP framework:

  • Definition of which entities are liable to register as a CASP;
  • The process and conditions to successfully register as a CASP;
  • The organizational and operational requirements assessed by the CySEC;
  • The charges and fees applied by the CySEC to applicants.

The legality of cryptocurrency business in Cyprus falls within the AML-CFT laws of the country. The Directive on the Register of CASP has been passed as a consolidation of the Law on the Prevention and Suppression of Money Laundering Activities.

Cryptocurrency regulation in Cyprus

The cryptocurrency regulation in Cyprus is a Directive, which entered the AML-CFT laws of the country. The legislation is enforced by the Cyprus Securities and Exchange Commission (CySEC). The Directive assesses what is a crypto asset service provider and what are its requirements.

This regulation is directed toward businesses, entities willing to provide services related to cryptocurrency. There is no regulation specific to crypto outside of the business applications of running crypto services. Virtual assets are not considered legal tender in Cyprus.

Cyprus Virtual Cryptocurrency Registry

The Cypriot legal framework for cryptocurrency companies explicitly states that crypto asset services providers must be registered to the CySEC in order to operate lawfully. Subsequently, the CySEC holds a virtual registry of cryptocurrency companies in Cyprus.

The registry is publicly available and divided into three parts: the active CASPs, the deregistered CASPs and the CASPs registered outside of Cyprus in the European Economic Area.

The register contains information about the company: its address, registration date and number, contact information and website URL. Each company has a dedicated page which lists the crypto activities it is authorized to perform, as well as the financial activities related to crypto.
