How to obtain a Forex license in Mauritius

STAGE 1

INCORPORATION OF A COMPANY IN MAURITIUS

The Forex license is only available to companies registered and operating from the island of Mauritius, in the Pacific Ocean. Incorporation of a legal entity is a mandatory step. The applicant to the Forex license will have to provide the usual documents required to form a company.

Once the company is set up, the Mauritius Financial Services Commission (FSC) requires economic substance in Mauritius:

  • The registration of a physical office space (not a mailbox address),
  • The employment or contracting of at least 1 resident individual,
  • The opening of a bank account (necessary to deposit the mandatory share capital).

One must also note that the licensing in Mauritius is conditioned to the fact that the company has, at least, the equivalent of 30,000 USD of expenditures within the country per business year.

PREPARATION TO THE APPLICATION TO THE MAURITIUS INVESTMENT DEALER LICENSE

As the company is set and has economic substance in the Republic of Mauritius, the application for licensing as a Forex broker or other investment services provider begins. Among other things, the management team of the project must prepare a resolution for application and fill the authority form.

The share capital must be deposited and the application fee paid up, in the amount that corresponds to the level of license that is applied to. There are four levels of licensing for the Forex license in Mauritius: Discount Broker, Broker, Full Service Dealer, Full Service Dealer with Underwriting. Each level corresponds to additional authorizations for business. Some business model will require the highest level of licensing, Full Service Dealer license with Underwriting.

STAGE 3
6 to 9 months

APPLICATION TO THE MAURITIUS FOREX LICENSE

The licensing process, following application to the Financial Services Commission, is the longest step of the process. It is critical to carefully and correctly prepare the initial two steps, to have all the necessary documents and the corporate structure sorted in a way that is aligned with the expectations of the regulator. The Forex license in Mauritius is then granted once the authorities have reviewed and approved the application.

The applicant must fill the application relevant to the desired level of licensing. For underwriters, description of the process and policies, including compliance with the securities transactions rules of Mauritius (art. 56 of the Securities Act).

The regulatory authorities, the Mauritius FSC, may ask for additional information and to conduct interviews of team members during the licensing process. Once complete, the company is granted a license with immediate effect and can start its operations.

Explaining the different tiers of the Forex license in Mauritius

The investment dealer license framework consists of four tiers of authorization, with increasing financial requirements and allowed level of services.

Tier 1 - Discount Broker

The lowest level of licensing allows a company to execute orders on behalf of their clients, effectively acting as a broker. This allows the project to act as an intermediary between its customers and the markets, by acting an interface which buys and sells financial instruments. These instruments, such as bonds or foreign currency, shall be regulated by the Mauritius FSC.

Tier 2 - Broker

As a licensed broker, a Mauritian company is allowed to provide financial advises, whether in the form of verbal advice, financial planning or portfolio management. With this license, a company can legally give advice to customers regarding securities' transactions.

Tier 3 - Full Service Dealer

With this tier of licensing, a company can give investment advice to its clients. It is also authorized to trade securities as principal and to resell them to the public. This tier is sometimes referred to as a stock broker license or a commodity broker license, as it allows for these activities in addition to Forex.

Tier 4 - Full Service Dealer with Underwriting

This tier is similar to the 3rd one, with the notable addition of having the right to underwrite and distribute securities. In other words, this means that the company is allowed to issue its own financial instruments. This includes the stocks of other companies through the mechanism of underwriting, where the company purchases the initially issued stocks to resell them to the public (initial public offering).
